These Terms of Service ("Terms") govern your access to and use of the services provided by Autrace, Inc. ("Autrace", "we", "us", "our"), including autraceai.com, the Autrace Enterprise AI gateway, the dashboard, and associated APIs (the "Services"). By accessing or using the Services you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into binding contracts. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Account registration
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your API keys and credentials, and for all activity that occurs under your account. Notify us immediately at security@autraceai.com if you suspect unauthorised access.
3. Permitted use
You may use the Services to proxy LLM API requests for lawful purposes. You agree not to:
- Transmit illegal content or facilitate illegal activities through the Services
- Attempt to circumvent or disable security features of the Services
- Resell or sublicense access without prior written consent
- Reverse engineer non-open-core components of the Services
- Use the Services in violation of your chosen LLM provider's terms
- Conduct denial-of-service attacks against or through the Services
4. Enterprise subscription and billing
Enterprise plans are billed annually in advance. Overage charges are billed at cycle end. All prices are USD and exclude applicable taxes.
5. Cancellation and plan changes
You may cancel your Enterprise plan by contacting your account manager. Cancellations take effect at the end of the current billing period. No prorated refunds for partial periods except where required by law.
6. Open-core software
The Autrace gateway core is released under the MIT License at github.com/autraceai. Use of open-source components is governed by that licence, not these Terms. These Terms govern the cloud-hosted Services only.
7. Data and privacy
Our data practices are described in our Privacy Policy. Enterprise customers requiring a Data Processing Agreement (DPA) should contact legal@autraceai.com.
8. Intellectual property
You retain ownership of your data. We claim no rights over your prompts or model outputs. You grant us a limited licence to process your data solely to provide the Services. The Autrace name, logo, and non-open-core components are our intellectual property.
9. Uptime and SLAs
Enterprise plans receive custom SLAs up to 99.99% as specified in your order form. Scheduled maintenance (announced 48 h in advance at status.autraceai.com) is excluded from uptime calculations.
10. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTRACE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOST PROFITS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Autrace, its officers, employees, and agents from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
13. Termination
We may suspend or terminate your access for material breach of these Terms. Provisions that by their nature should survive termination will do so, including payment obligations, disclaimers, and limitations of liability.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for IP matters.
15. Changes to these Terms
Material changes are notified via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
